Era of Online Access Has Begun, Notes Corporate Expert Rhoda Anderson Associates
Shareholders to Get Annual Reports/Proxies on the Web
CRANBURY, N.J.--(BUSINESS WIRE)--“The era of ‘online access equals delivery’ has begun, and millions of shareholders will soon get annual report and other corporate documents online,” notes corporate secretarial expert Rhoda Anderson, corporate secretarial expert with Rhoda Anderson Associates and co-founder of EZOnlineDocuments.com.
A December 13, 2006 action (click here) by the U.S. Securities and Exchange Commission means that the Internet will be the required means for corporations to send annual reports and proxy statements to shareholders in the near future, explained Anderson.
“SEC-required electronic distribution of corporate annual reports and proxies will arrive beginning July 1, 2007 on an optional basis,” Anderson explained, noting the SEC’s decision will allow companies to furnish proxy materials to shareholders through a “notice and access” model using the Internet.
“The desktop computer will be the book that shareholders read and the laser printer will be the printing press,” she commented.
“After the optional period, the SEC wants to require its ‘notice-and-access’ model for the future,” Anderson added. The SEC wants to help corporations cut “the high costs of soliciting proxies,” said Anderson, who helped revolutionize the proxy solicitation processes at two U.S. corporations with a combined seven million shareholders.
“The days of the thick, costly annual mailing/proxy package to all shareholders are numbered,” Anderson said. “Shareholders will be guaranteed the right to receive the print package, but the SEC would make them to take a proactive step such as a phone call or e-mail to receive it.”
“The quality of the Internet documents will have a direct impact on the number of shareholders who accept electronic delivery,” Anderson stated. “Corporations need to face the issues of online publishing: readability, searchability, ease of use, and organization” for their corporate documents. “This is a not-so-new but still a brave world where corporations must balance how their documents look and read online with how much they can save.”
